SpongeTech or any of its employees do not accept or consider unsolicited ideas, including suggestions and ideas for new advertising campaigns, new promotions, new or improved products or technologies, product enhancements, processes, materials, marketing plans, new product names and the like. Please do not submit any unsolicited ideas, original creative artwork, suggestions or other works (“submissions”) in any form to SpongeTech or any of its employees.
The sole purpose of this policy is to avoid potential misunderstandings or disputes when SpongeTech's products or marketing strategies might seem similar to ideas submitted to SpongeTech. If, despite our request that you not send us your ideas, you still submit them, then regardless of what your letter says, the following terms shall apply to your submissions.
If you do send SpongeTech an unsolicited suggestion, idea, proposal or other material, you agree that: (1) your submissions and their contents will automatically become the property of SpongeTech, without any compensation to you; (2) SpongeTech may use or redistribute the submissions and their contents for any purpose and in any way; (3) there is no obligation for SpongeTech to review the submission; and (4) there is no obligation to keep any submissions confidential.
SpongeTech does, however, welcome your feedback regarding many areas of SpongeTech’s existing business. If you want to send us your feedback, and we hope you do, we simply request that you send it to us using the contact form
Please provide only specific feedback on SpongeTech’s existing products or marketing strategies; do not include any ideas that SpongeTech’s policy will not permit it to accept or consider. Any feedback you provide us shall be deemed to be non-confidential. SpongeTech shall be free to use such information on an unrestricted basis.
1.0 Policy
The success of SpongeTech is dependent upon our ability to design, develop and market innovative products. As a company which is highly visible to the public, SpongeTech often receives unsolicited ideas and suggestions from the public for things such as advertising campaigns, new promotions, new or improved products, technologies, product enhancements, processes, materials, marketing plans, new product names, and the like. In order to protect SpongeTech from potential misunderstandings or disputes when SpongeTech's products or marketing strategies might seem similar to ideas and suggestions submitted to SpongeTech, this Policy has been drafted to outline SpongeTech's standards and procedures for handling unsolicited ideas and suggestions.
2.0 Identifying Unsolicited Ideas.
Unsolicited ideas and suggestions consist of any suggestions or ideas received from parties regarding items such as new advertising campaigns, new promotions, new or improved products or technologies, product enhancements, processes, materials, marketing plans, new product names and the like which were not requested by SpongeTech as part of SpongeTech’s normal business relationships with its customers and vendors.
This Policy applies to all unsolicited ideas and suggestions received by SpongeTech and applies to all employees as well as consultants employed SpongeTech.
3.0 Responsibility
The implementation of this Policy lies with each and every employee of SpongeTech. The Chief Operating Officer, from time to time, shall designate certain employees as having specific responsibilities with regard to this Policy.
4.0 Handling of Unsolicited Ideas and Suggestions
All unsolicited ideas and suggestions received by SpongeTech are to be handled in accordance with this Policy. As most unsolicited ideas and suggestions are received by e-mail, as soon as an employee identifies that an e-mail contains an unsolicited idea or suggestion, such employee should stop reviewing the contents of the e-mail and should inform the Chief Operating Officer that an unsolicited ideas and suggestions has been received. The employee should then promptly respond to the sender by e-mail stating that SpongeTech does not accept or review unsolicited ideas and suggestions, in the form attached as Exhibit “A” to this Policy or such other form as may be designated by SpongeTech’s Chief Operating Officer. In addition, copies of e-mails containing unsolicited ideas and suggestions and SpongeTech’s response should be stored in a folder properly designated to indicate that it is the storage place for such e-mails. Any e-mails containing unsolicited ideas or suggestions should be stored and may later be discarded in accordance with SpongeTech’s corporate e-mail retention policy.
All unsolicited ideas and suggestions received by SpongeTech as written correspondence by mail should be similarly responded to by US Mail. All such correspondence containing unsolicited ideas and suggestions and SpongeTech’s response should be stored in a central file designated to indicate that it is the storage place for such correspondence. Any written correspondence containing unsolicited ideas or suggestions should be stored and may later be discarded in accordance with SpongeTech’s corporate document retention policy.
5.0 SpongeTech’s Web Site
The SpongeTech web site should contain a link to SpongeTech’s “Unsolicited Ideas” policy, which document shall summarize the contents of this Policy.
